How is it possible to raise an extension round at the same valuation as the base round? (e.g., Series D extension off Series D at same valuation)
Say you have a pre-money valuation at $1,000mm for your Series D and you raise $100mm, you inherently have a post-money valuation of $1,100mm. But I've seen a number of investments where an extension round will come in at the same pre-money valuation of the base round (e.g., Series D extension also coming in at $1,000mm pre-money valuation).
How is this possible?
Following
The round transposes into a $200mm round.
Pre-money valuation: $1000mm
Capital infusion: $100mm+$100mm
Post-money Valuation: $1200mm
