Just worked on a deal where we purchased a owner/user lumber mill after a fire and the company decided to move. Was pretty interesting, main points are below:

-12 mo lease-option with 10% PP hard at start of lease

-could sublease/do any construction during lease aside from demolishing buildings

  • in the event 1031 or cap gain tax changed during the lease, the seller could force a close and seller finance with a balloon payment due at the end of the lease term

Worked out really well for us, we were able to lease up half the property during the lease and our payments were about half what debt service would have been. Closed with a bridge loan after 10 months because our capital improvements were too high to not have ownership.
