The Capital Bifurcation: Private GPs are handing the keys back to Public REITs

The commercial real estate debt maturity wall over the next 24 months is going to cause a massive transfer of assets from private sponsors to the public markets.

For the last decade, private GPs and syndicators could outbid public REITs on core and core-plus assets because they had access to cheap bridge debt and aggressive LP capital. That game is over.

Assets underwritten at 3% cap rates are coming due and are staring down 7% refinancing costs. The DSCR math simply breaks. Private equity GPs are currently trapped between capital calls they can't fulfill and lenders who won't extend.

Meanwhile, the public REITs have been sitting on the sidelines building massive war chests. They have access to unsecured corporate debt and the bond market at a cost of capital that is fundamentally impossible for a private syndicator to beat right now.

The spread between a REIT's unsecured borrowing rate and a private GP's bridge debt is at a historic wide. We are about to see the public guys step in and buy these distressed assets at massive discounts, essentially taking the keys from the private sponsors.

For the analysts on here, how is your shop handling this? Are you seeing the LPs start to freeze up, or are the bridge lenders forcing extend and pretend structures?

Curious what the actual capital markets desks are seeing.
