Assume:

Enterprise value: $10M

Option strike price proceeds: $1M

Units of common shares: 20

Units of options: 1

All of the options are fully in the money.

Does this result in a diluted value per share of ($11M divided by 21 shares) = $0.52

Or, does this result in a diluted value per share of ($10M divided by 21 shares) = $0.47

As you can see, I am not sure how to handle the option strike price proceeds. It is tricky because as a matter of fact there would be $11M to distribute on an enterprise value of $10M, considering the options are ITM. The question can have a material impact in how much to pay per share in a secondary transaction.
