Japan parent tender offers: Takara Holdings for Takara Bio and Brother for MUTOH both closed in about seven weeks
Two Japanese tender offers from early 2026 had a similar shape.
Takara Holdings launched a tender offer for its listed subsidiary Takara Bio on February 16, 2026 and it completed on April 7, 2026 at JPY 36.493bn. Brother Industries tendered for MUTOH Holdings from February 5, 2026, completed on March 24, 2026, with consideration of JPY 30.802bn.
In both cases the whole thing took around seven weeks from launch to completion. One is a parent buying out a listed subsidiary, the other is a third-party strategic.
For event-driven people: how do you think about the risk in these? Is it basically a timing and minority holdout game, or do you look for the chance of a bumped price? And is the liquidity good enough on small Tokyo Standard-listed names to make it worth the trade for a non-Japan fund?
