Experiment: help me with REAL M&A DEAL

I'm hired as a lead (only) consultant for an acquisition of an SME healthcare company by a large state-owned medical institution in Europe. Transaction size in single digit $ millions.

I've never done healthcare and am too lazy to learn about it.
