How to identify acquisition target/benefits?

Let's say you have a medium-size bank, ~15-30b market cap and there is another smaller ~1b mrkt cap bank.

What are the key things to look at to see if it makes sense for the larger one to acquire the smaller, (in a few PowerPoint slides only) How can I calculate "synergies" or argue it "fits" culturally?

My thoughts were having slide 1 to cover, company & industry strengths, slide 2 to cover valuation & financials and slide 3 to have my recommendation.

What are some must-haves to focus on when dealing with banks? The net interest margin? Return on tier 1 tangible common equity? I really need to figure this out. Any advice?
