Firms for VDD?
Hello, I would like to do a VDD on a company to be sold through an M&A controlled auction process. The transaction value will be about $600-700mm if that matters. Which firms are respectable in the industry for performing VDD? Is one of the big 4 (Delloitte, etc.) the best option in terms of credibility?
$600-700mm means that you have the money to spend on a quality VDD, but it's up to you whether or not you do.
MBB generally elect not to undertake VDDs because they are low value for the time required
I've heard of people commissioning VDDs from Oliver Wyman - MBB analytical chops, minus the hand-holding people skills of MBB (good option)
Parthenon is a VDD machine with a focus on the middle market
S& does middle market work as well and has a massively growing DD practice, though unsure if they do VDD (good option)
Other diligence houses exist, such as Investor Group Services (IGS), that are much less expensive
You are effectively paying for what you get: you get a McKinsey VDD, you are paying for their legitimate insights into your business to help you approach a sale, and you have limited room to "influence" the results or content; you get an IGS VDD, you are getting a check-the-box marketing document that you can pump full of whatever graphs you'd like to insert.
