Firms for VDD?

Hello, I would like to do a VDD on a company to be sold through an M&A controlled auction process. The transaction value will be about $600-700mm if that matters. Which firms are respectable in the industry for performing VDD? Is one of the big 4 (Delloitte, etc.) the best option in terms of credibility?

$600-700mm means that you have the money to spend on a quality VDD, but it's up to you whether or not you do.

  • MBB generally elect not to undertake VDDs because they are low value for the time required

  • I've heard of people commissioning VDDs from Oliver Wyman - MBB analytical chops, minus the hand-holding people skills of MBB (good option)

  • Parthenon is a VDD machine with a focus on the middle market

  • S& does middle market work as well and has a massively growing DD practice, though unsure if they do VDD (good option)

  • Other diligence houses exist, such as Investor Group Services (IGS), that are much less expensive

You are effectively paying for what you get: you get a McKinsey VDD, you are paying for their legitimate insights into your business to help you approach a sale, and you have limited room to "influence" the results or content; you get an IGS VDD, you are getting a check-the-box marketing document that you can pump full of whatever graphs you'd like to insert.
