PE Model Test: DCF LBO M&A?

Wondering if a standard PE interview will test M&A or DCF modeling. I would say my modeling skills are novice, and that I know my way roughly around how to three statement model and make everything integrated and balance. Been going through LBO prep as well and getting there. I noticed you don't really need DCF or M&A in learning LBO, and was wondering if any PE interview will ask of DCF or M&A in addition to LBOs. Just want to make sure my time is spent well. Understand this might be a stupid question as well, but wanted to make sure.

Based on the most helpful WSO content, private equity interviews typically focus heavily on LBO modeling, as it is the bread and butter of PE firms. However, depending on the firm and the role, you might also encounter DCF or M&A-related questions or tests. Here's a breakdown:

  1. LBO Modeling: This is the most common and critical test in PE interviews. You should be prepared for different formats, such as paper LBOs, 1-hour tests, or 3-hour tests. Mastering LBOs is essential.

  2. DCF Modeling: While not as common as LBOs, some firms may test your understanding of DCFs, especially if they want to assess your valuation skills. Knowing how to project free cash flows, calculate terminal value, and discount cash flows is valuable.

  3. M&A Modeling: This is less frequent in PE interviews but could come up, especially if the firm has a strong focus on M&A transactions. Understanding accretion/dilution analysis and synergies might be helpful.

  4. Three-Statement Modeling: A solid understanding of how to build and integrate a three-statement model is foundational and often expected.

If your time is limited, prioritize LBO modeling, as it is the most likely to be tested. However, having a basic grasp of DCF and M&A concepts can be beneficial, as they demonstrate a well-rounded skill set. For more detailed preparation, consider leveraging resources like the WSO Private Equity Interview Bootcamp or the Private Equity Master Package, which cover LBO modeling and other relevant topics comprehensively.
