Senior Associate - Deal Flow Interview Questions

Can anyone give insight into how deep interview questions go in an interview for a platform deal for a senior associate? Outside of the standard walk us through the deal, highlights/risk, etc.

Trying to understand what they look for in a senior associate interview that would be a step above the typical associate interview.

Interested to hear any thoughts from people on either side of the process. Thanks!

Based on the most helpful WSO content, here are some insights into what you might expect in a senior associate interview for a platform deal:

  1. Depth of Questions:

    • Deal-Specific Questions: Beyond the standard "walk us through the deal" and "highlights/risk" questions, expect deeper dives into the specifics of the deals you've worked on. This includes detailed financial metrics, valuation methods, and the rationale behind key decisions.
    • Sector Expertise: Given your sector expertise, be prepared to discuss industry trends, competitive landscape, and how these factors influenced your deal decisions.
  2. Advanced Technical Questions:

    • Accretion/Dilution Analysis: You might be asked to perform or explain accretion/dilution analysis, similar to the M&A interview questions discussed in the WSO threads.
    • Case Studies: The interview may include case studies where you need to analyze a hypothetical deal, identify potential risks, and propose strategies to mitigate them.
  3. Behavioral and Fit Questions:

    • Team Dynamics: Questions about your experience working in teams, leadership roles, and how you handle conflicts or challenges within a team.
    • Cultural Fit: Assessing whether your values and work style align with the firm's culture.
  4. Strategic Thinking:

    • Investment Thesis: You may be asked to present an investment thesis for a potential deal, including market opportunity, competitive advantage, and exit strategy.
    • Value Creation: Discussing how you have added value in previous deals, such as through operational improvements, strategic initiatives, or financial restructuring.
  5. Past Experience:

    • Detailed Walkthroughs: Be ready to provide detailed walkthroughs of past deals, focusing on your specific contributions, challenges faced, and outcomes achieved.
    • Lessons Learned: Reflecting on what you learned from past deals and how those experiences have prepared you for a senior associate role.

For more detailed preparation, you might find it helpful to review specific threads and resources on WSO related to senior associate interviews and deal flow.

Highly dependent on the person interviewing you and their level. In my experience, MDs keep it high level and more around thesis/risks, growth plan, etc. When interviewing with VPs/Directors/Principals, I've been asked everything from specific P&L numbers to unit economics to diligence plan. They want to test that you actually did real work on the deal, understand it, and would be capable of leading it as a VP one day

Other potential ideas:

  • Deal team structure and your role including what/whom you managed
  • Walk through deal process (key workstreams, what you owned vs. others, types of 3rd parties involved, your role and knowledge of legal negotiations, same for NWC negotiations)
  • Acquisition thesis
  • Status and involvement with investment post-closing (role/involvement in board meetings, key levers for value creation so far, any M&A completed, exit planning, internal reporting)
