An organization protecting investor interest and fraud happening in the security market for more than a century with the main motive is to look after the retail investor and promote ethical dealing in the security market.

NASAA (North American Securities Administrators Association ) is an association or an organization that started its operations in 1919 to secure all types of investors from malpractices, fraud, and illegal and unethical practices.

It is the sum of many mighty regulating bodies responsible for governing capital markets across the Northern American continent, including the USA, Mexico, Canada, and many more. It consists of 67 states, provincial, and territorial securities administrators in 50 states.

It also includes the District of Columbia, Puerto Rico, the U.S. Virgin Islands, Canada, and Mexico as their permanent members of the association.

Its members are the regulators of local communities, small businesses, and the investing public across North America, where they will discuss investor interests and reduce fraud.

They have a multifaceted mission of protecting investors from fraud and abuse, conducting investor education, providing guidance and assistance via the established regulatory framework, and ultimately empowering the North American economy.

NASAA is one of the most trusted and decorated associations working for more than a century towards maintaining the integrity of the different securities exchanges and authorities over Northern America.

This organization has been working toward the safety of retail investors for more than a century, having colossal experience working with many exchanges and regulators across Northern America.

They also assist the regulatory bodies regarding policy formation, spreading awareness, and educating people about the market and how they can invest or trade in the exchanges.

They also provide examinations like Series 63, Series 65, and Series 66 for licensing brokers, dealers, and advisors. The exams are administered for NASAA by FINRA (Financial Industry Regulatory Authority).

The background story of North American Securities Administrators Association (NASAA)

More than 100 years ago, a small group of individual state securities regulators had this big idea to make a strong network of colleagues to work together to protect investors throughout North America.

Today this group includes securities regulators in the United States of America, Canada, and Mexico, which makes it an alliance and organization named the North American Securities Administrator Association.

They then started working toward the investor's interest, trusting and educating the investors, and helping securities exchanges to regulate.

Regulation of securities offering and the state licensing of stock brokers and their agents are governed by 'blue sky law.' The first modern state blue-sky Law was adopted in 1911 in Kansas.

The Kansas law served as the worldwide state and provision securities regulation model. Manitoba became the first Canadian province to approve security legislation in 1912

NASAA was organized in Kansas in 1919 following its first annual meeting in 1918 in Chicago, Illinois, where H.L Carnham of California presided as NASA's first president. Click here for a list of NASAA Presidents.

The association operated a small business office in Topeka, Kansas, and hired its first executive director in 1983. NASAA moved its Corporate Office to Washington, D.C., in 1987.

In 2019, they began their second century of service. They saw many changes and overcame many challenges, like the Stock market crash in 1929, the Great Depression 1930s, World War 2, the Estates crash in 2008, and the crypto crash in 2016.

Their primary goal was and remained to advocate and act for the protection of investors, specifically those who lack the expertise, experience, and resources to protect their interests.

They are driven by the conviction that every investor deserves protection and an even break and that the welfare of every investor must not be sacrificed in the process of capital formation.

Vision and mission

Every organization has its mission and vision at the time of incorporation. The concept means the place company and organization see themselves in the future, which means the longer goals of the organization.

On the other hand, a firm's mission statement is to tell the reason for the organization's existence, which means the purpose for the organization's formation or the cause they are operating the organization.

The central vision of this association is to protect investors from fraud and abuse, educate investors about the market, support responsible capital formation, and help ensure the integrity and efficiency of financial markets.

The primary mission statement of the North American Securities Administrators Association is to represent and serve members through education, cooperation, subject matter expertise, and advocacy.

To limit the number of frauds and malpractices around different security exchanges across North America so that it becomes a healthy environment for investors to start investing in the securities market.

To educate the investors of the market who do not have the expertise, education, or experience in this market so that they will be aware of various malpractices happening in the market.

They work hard to achieve the mission and vision of the organization so that the whole security market system around us becomes a much better place to invest and trade for ordinary people and investment firms.

They have taken many steps toward the welfare of retail investors by establishing policies with many regulating authorities and spreading information regarding investing and trading in the market.

They have created a page, especially for investor education, where anyone can learn about the market, prevent fraud and scams, verify their investment advisors and brokers, and access their library and different resource materials.

Purpose of NASAA

After knowing its vision and mission, we have a proper image in mind of the association. Every association launched has a purpose to start, a goal in mind that they want to achieve.

These purposes are the goals or targets which an organization wants to achieve. It also tells us the reason behind this organization's starting and the motivations for starting it. Some of these motivations are as follows :

1. This organization's first and most important purpose is to protect investors from frauds and scams happening in the markets. An investor needs to feel safe and have trust in the market.

They are making many reforms with their members and Congress to protect people from the different frauds and scams around them.

2. To educate the investors. Generally, people putting money in do not know anything about the market; they invest by mutual funds and in the influence of any tips or someone terrible for them.

If they do not know how the market works and invest without knowledge, this will increase their risk as they have no reference about this and increase the chances of losing their money, getting scammed and fraud, etc.

Therefore, it is essential to educate people to spend their hard-earned money wisely and earn profit and wealth from it. This will also increase the trust and feeling safe towards the markets.

3. This organization also works as a facilitator for firms by facilitating capital formation at the state and local level by assisting companies seeking to raise capital with state securities laws issues.

It helps empower the economy and businesses by providing regulatory frameworks to businesses (small and large) who are seeking to raise money for their operations.

Doing this will help stabilize equitable and flourishing markets, ultimately increasing the employment rate across North America as it leads to job creation.

4. The organization also provides its consulting to Congress in the USA regarding ways to strengthen investor protection and facilitate healthy capital formation. 

Some of the plans of NASAA are making investors' interests first and protecting them, establishing many reforms and regulations for their safety, and reforms to help in raising capital.

5. They also conduct many exams necessary to get a license to work in the different exchanges as a dealer, broker, and advisor by FINRA. These exams help in the verifying of the broker and advisors.

It will help people to know who is verified and who is not so that they will not get fooled by a non-verified person and also build a community of qualified people for the jobs in the market.

Different roles of NASAA

There are many roles played by them to ensure the safety of investors' interest, spread knowledge, and regulator.

Some of them are as follows:

1. It plays the role of Protector for the people who put their money in the market by ensuring the safety of their interests and securing them from the different frauds and scams happening in the market.

It gradually increases the people's trust in the market, where they start feeling that it is a secure place to put their money in for the expectation of wealth creation and future profits.

It is a win-win situation for all investors as well as the market. It reduces the fraud and scams happening in the market by warning investors and helping the exchange to earn money with the investors.

2. As an Educator, this organization educates people about the market and how to invest, which helps people understand the market and learn to put money in stocks.

Generally, people do not know about the market and investing in stocks, so educating them makes it much easier to put money in the market and helps avoid frauds and scams in the market.

It also helps people to invest in the stocks by themselves; then, they can avoid the malpractices by the local broker and prevent all this. In addition, it enables them to reduce the cost of charges.

3. As a Regulator, they regulate by providing licensing to the stockbroker and investment advisor, doing their registration to them, which helps to regulate the market.

By doing this, they make different policies for the broker and advisor to follow if they will not follow them, their license will be canceled, and they will not allow doing work there.

They also started enforcing different state securities laws by fining, paneling, providing restitution, prosecuting white-collar criminals, and imposing legally binding conduct remedies designed to correct specific problems.

4. As an Advocator, NASAA generally participates a lot in advocating the interest of state and provincial securities regulators at all levels of government to protect investors and promote the capital market.

Their legislative agenda for Congress is to make investor interest first, restore the preeminence of the U.S. public securities market, enhance inclusion in all aspects of the capital market, and promote capital formation.

Examination conducted by NASAA

This organization conducts many examinations to give licenses to the stockbrokers and investment advisors and registration of the broker and advisors. These exams are established by the NASAA and executed by the FINRA (Financial Industry Regulatory Administration).

NASAA conducts many popular exams for licensing and registering investment brokers and investor advisors in Series 63, Series 65, and Series 66.

1. Series 63 is the Uniform Securities Agent State Law Examination developed by NASAA in cooperation with representatives of the securities industry and industry association. The examination is called the Series 63 exam.

It is designed to qualify candidates as securities agents. The examination covers the principles of state securities regulation reflected in the Uniform Securities Act. It is intended to tell the basis for an applicant's knowledge and understanding of laws.

The exam consists of 65 multiple-choice questions covering all the topics, where 60 will count towards the final score, the remaining 5 questions are being pretested for possible inclusion in the operational question bank, and 43/60 is passing.

2. Series 65 is the Uniform Investment Adviser Law Examination designed to qualify candidates as investment adviser representatives, which covers all topics necessary to understand and provide investment advice to clients.

Considering the seriousness of this profession, the examination includes a vast variety of topics. The exam consists of 130 questions + 10 pretest questions covering the material outline of the following study outline.

Applicants are given 180 minutes to complete the examination. To pass this exam, one should score 94 marks (72% of the questions correctly) and it is generally conducted as a closed book test.

3. Series 66 is the Uniform Combined State Law Examination designed to qualify a candidate as both securities agent and investment adviser representative which covers all necessary topics for investment advice and securities transactions for clients.

The exam consists of 100 multiple choice questions and 10 pretest questions. Applicants are allowed 150 minutes to complete the examination. The examination is conducted as a closed book test.

Upon completion of the exam, the score for each section and the overall test score will immediately be made available to the candidate. It is administered by FINRA and conducts all the examinations for NASAA.
