How to Walk Through a Capital Raising Deal

How do you walk through a capital raising deal in an interview process? I have only done equity-related deals (IPOs, follow-ons) during my banking stint in a coverage group and none of the M&A deals I've been on have closed. I see a lot of resources on walking through M&A deals, but there isn't as much info on capital markets related transactions. Is there a useful framework I could follow here?

Based on the most helpful WSO content, here's a framework to walk through a capital-raising deal, particularly equity-related transactions like IPOs or follow-ons:

  1. Deal Context and Objective: Start by explaining the background of the deal. Why was the company raising capital? Was it for growth, debt repayment, acquisitions, or other strategic purposes? Highlight the company's industry, financial position, and market conditions at the time.

  2. Your Role and Responsibilities: Clearly outline your role in the transaction. Did you work on financial modeling, drafting the prospectus, coordinating with legal teams, or managing investor outreach? Be specific about your contributions.

  3. Process Overview:

    • Preparation Phase: Discuss the initial steps, such as due diligence, preparing the offering documents (e.g., prospectus or registration statement), and financial analysis.
    • Valuation and Pricing: Explain how the valuation was determined, including the methodologies used (e.g., comparable companies, precedent transactions). Highlight any challenges in pricing the deal.
    • Marketing and Roadshow: Describe the roadshow process, investor meetings, and feedback received. Mention how the team adjusted the pitch or pricing based on investor sentiment.
    • Execution: Walk through the actual execution of the deal, including book-building, final pricing, and allocation of shares.
  4. Outcome and Impact: Share the results of the transaction. Was it oversubscribed? How did the stock perform post-issuance? Did the company achieve its objectives?

  5. Challenges and Learnings: Reflect on any challenges faced during the deal (e.g., market volatility, regulatory hurdles) and how they were addressed. Highlight what you learned from the experience.

  6. Tailor to the Interview: If you're interviewing for a private equity role, connect the deal to how it might inform your investment perspective. For example, discuss how you evaluated the company's growth potential or market positioning during the deal.

This structured approach ensures you cover all critical aspects of the deal while showcasing your analytical and execution skills.
