Likely to be a cookie cutter sell-side M&A case: Sell to a sponsor/strategic? IPO? At what valuation? What is likely to be the investment thesis of the prospective buyer (based on materials given)? What will the process look like (e.g. dual-track?)? How does your recommendation tie in with the current market environment (e.g. perhaps a sale to a sponsor makes sense given vast level of dry powder and scarcity of quality assets)?

Valuation likely to include a paper LBO, comps, precedent transactions. Will be very simple math.
