Management Buyout Capital Raise

Looking for some advice on how to raise capital for a management buyout.

I'm currently a minority owner for a healthcare services company. $3-4m EBITDA. I was former CEO and COO of this specific asset but now at a different asset for the holdco - of which I do not have equity.

My plan has been to take my exit proceeds from whenever the eventual exits takes place and use it to fund a smaller acquisition of my own. Then it dawned on me I should just propose a management buyout since there's no company I know better than this one.

I personally don't have the capital to buy it and would be proposing a seller note for a significant portion of the EV. But will need to provide atleast some liquidity to the principal at close which is why I need to raise some capital - looking for mostly equity not debt.

I've never raised capital before and don't have much of an M&A background. I do however have about a decade of executive level operational experience specifically in this business.

Is it even realistic for me to go out and raise capital in this capacity with no M&A track record?

And if it is what are some best practices?

I have some high net worth people in my network, but I expect to have to venture into the realm of professional investors.

Any advice would be greatly appreciated.
