For a mid/small-cap PE interview, especially in a second-round setting with a VP, preparation is key. Based on the most helpful WSO content, here’s how you should approach it:

1. Technical Preparation

  • LBO Modeling: Even if you're an undergrad, familiarize yourself with the basics of Leveraged Buyout (LBO) modeling. Small/mid-cap firms may not expect you to build a full model, but understanding the mechanics (debt, equity, returns) is crucial.
  • Paper LBOs: Practice solving simple paper LBOs. These are common in PE interviews and test your ability to think through a deal without a computer.
  • Deal Analysis: Be ready to discuss what makes a good PE investment. Focus on:
    • Industry attractiveness: Growth potential, competitive dynamics.
    • Financial metrics: Revenue growth, EBITDA margins, CAPEX, and working capital requirements.
    • Exit strategies: Industry consolidation, IPO, or strategic sale.
  • Cost of Capital: Understand why institutional investors might bid higher or lower in a deal and how cost of capital impacts valuations.

2. Behavioral Questions

  • Tell Me About Yourself: Prepare a structured 1-minute and 3-4 minute version of your story. Make it engaging and include something unique (e.g., hobbies like beer crafting or other fun activities).
  • Why Private Equity? Be clear about your motivations for PE and why you're interested in small/mid-cap firms specifically. Highlight your interest in hands-on deal work and exposure to operational improvements.
  • Team Fit: Show social intelligence. VPs want to know if they can work with you for long hours or in informal settings (e.g., offsites or travel).

3. Deal Experience

  • If you’ve worked on any projects or internships, be ready to explain them in detail. Even if it’s not directly related to PE, focus on transferable skills like problem-solving, financial analysis, or strategic thinking.

4. Industry Knowledge

  • Research the firm’s portfolio companies and the industries they focus on. Be prepared to discuss why you think a particular company or industry is attractive.
  • Read initiating coverage reports or research reports on relevant industries to sound informed.

5. Mock Interviews

  • Practice with peers or mentors who have PE experience. They can simulate technical and behavioral questions to help you refine your answers.

6. Networking

  • If possible, reach out to departing analysts or associates from the firm. They can provide insights into the interview process and specific areas to focus on.

Final Tips

  • Be confident but humble. Show your passion for the role and your willingness to learn.
  • Time management is critical in a 30-minute interview. Keep your answers concise and to the point.

Good luck!
