How to prepare for consulting-friendly PE associate interviews?

Interested in getting into a process for a PE firm that is MM and consulting friendly. I imagine, and based on limited information online, that the interview process is less grilling on financial / modeling knowledge but about general investing acumen and more qualitative. For anybody that has gone through interview processes like these or understand what I'm talking about.

  1. could you provide insight into whether the interview process truly is more consulting like and qualitative and case study oriented? what firm if possible was this for?
  2. am i better off preparing for this over LBO stuff? not sure if this particular firm even has an LBO modeling test.
  3. most importantly, how can i actually prepare? I feel like I'm only just getting comfortable with understanding a company's financials, how things flow on a deeper level. but my ability to answer "would you invest in this business" is weak and i assume this is as huge grilling point.

Would really appreciate any help or advice.

To prepare for consulting-friendly PE associate interviews, especially for MM firms, here’s what you need to know and how to approach it:

1. Understand the Nature of Consulting-Friendly PE Interviews

  • These interviews often focus less on hardcore financial modeling and more on qualitative aspects, such as general investing acumen, strategic thinking, and understanding business dynamics.
  • Case studies are a significant component, mirroring consulting-style interviews but tailored to private equity. You’ll likely be asked to evaluate businesses, identify value drivers, and assess investment opportunities.

2. Key Areas to Focus On

  • Case Study Preparation:
    • Expect to analyze a Confidential Information Memorandum (CIM) and create a memo or presentation summarizing the business's pros/cons, SWOT analysis, and investment potential.
    • Practice frameworks like "What would you need to know to make X a good investment?" Break it down into cash flow, industry dynamics, and deal economics (e.g., purchase price, growth potential).
  • Qualitative Evaluation:
    • Be ready to answer questions like "Would you invest in this business?" or "What are the key risks and opportunities for this company?" This requires a deep understanding of business models, market dynamics, and competitive positioning.
  • General Financial Acumen:
    • While the focus may not be on LBO modeling, you should still have a solid grasp of financial statements, EBITDA, cash flow, and basic valuation concepts. This will help you articulate your investment rationale effectively.

3. Preparation Tips

  • Case Study Practice:
    • Use resources like "Case-in-Point" to understand consulting-style frameworks and adapt them to PE scenarios.
    • Practice with old CIMs or case study prep books. Focus on identifying growth drivers, profitability trends, and potential risks.
  • Storytelling and Communication:
    • Develop clear, concise, and compelling narratives for your investment recommendations. Practice presenting your findings as if you were pitching to an investment committee.
  • Industry and Market Knowledge:
    • Research the industries and markets the firm focuses on. Understand key trends, challenges, and opportunities in those sectors.
  • Behavioral and Fit Questions:
    • Prepare answers for questions like "Why private equity?" and "What makes you a good teammate?" These are crucial for demonstrating your fit with the firm’s culture and values.

4. Balancing LBO and Qualitative Prep

  • While LBO modeling may not be the primary focus, it’s still worth having a basic understanding. Many firms include some form of modeling test, even if it’s simplified.
  • Prioritize qualitative and case study preparation, but don’t neglect the fundamentals of financial modeling entirely.

5. Firms and Processes

  • While specific firms aren’t named in the WSO dataset, MM firms with a consulting-friendly approach often value strategic thinking and operational insights over pure financial expertise. Examples might include firms that focus on portfolio company management or operational improvements.

6. Resources to Use

  • WSO Private Equity Interview Prep: Includes case study guides, LBO modeling tests, and behavioral question prep.
  • Case Study Books: Look for consulting case prep books and adapt their frameworks to PE scenarios.
  • Networking: Speak with current or former associates at the target firm to understand their specific process and expectations.

By focusing on these areas, you’ll be well-prepared to tackle consulting-friendly PE interviews and demonstrate your ability to think like an investor. Good luck!
