Valuation of intangibles

Hi guys,

How do you go about valuing intangibles in an acquisition? 

Say the company doesn't have much tangible assets and sells software, do you just put everything above thee book value into goodwill and let your finance team/tax advisors sort it out or do you use some framework to assess the value?

Any good  link/ practical resource on the topic would be appreciated!
