M&A/ECM AC Prep

Hi all,

I have an upcoming assessment centre for the above, consisting of 1 technical interview, 2 behavioural and a case study (each 30 mins). I have already read Rosenbaum's 'Investment Banking', completed basic level modelling courses, read the FT for 5-10 mins a day and currently in discussion with someone doing a summer there currently.

This is a prestigious firm and I REALLY want the role. How have you guys prepped for your ACs in the past? What else could I be doing?

Thank you in advance for your help!

To ace your M&A/ECM assessment center, here's what you should focus on based on the most helpful WSO content:

1. Technical Interview Prep

  • Valuation Techniques: Ensure you're fluent in DCF, Comps, and LBOs. For M&A, also brush up on merger models and accretion/dilution concepts.
  • Key Metrics: Be comfortable with EV/EBITDA, EV/Sales, and EBITDA margins. These are often required in case studies and technical discussions.
  • Modeling Practice: If you’ve done basic modeling courses, try building models from scratch without templates. This will help you articulate your assumptions clearly, which is often tested.
  • Resources: Leverage guides like Rosenbaum & Pearl, WSO Prep Pack, and MultipleExpansion for advanced modeling and technical questions.

2. Behavioral Interviews

  • Cheat Sheet: Create a one-page document summarizing your key stories (e.g., teamwork, leadership, failure, and success). Tailor these to highlight skills relevant to M&A/ECM.
  • Fit Questions: Be ready to answer "Why this firm?" and "Why M&A/ECM?" with specific examples. Research the firm’s deals, culture, and strategy to make your answers stand out.
  • Practice: Mock interviews with a friend or mentor can help refine your delivery and confidence.

3. Case Study

  • Structure Your Answer: Start with a clear recommendation and back it up with data. For example, if asked to evaluate acquisition targets, state your choice upfront and justify it with valuation multiples, strategic fit, and risks.
  • Key Skills: Practice building a projection model, completing a DCF, and doing comps analysis. Be prepared to discuss strategic rationale, industry trends, and risks.
  • Presentation: Organize your findings clearly and concisely. Avoid getting stuck on guiding questions—focus on delivering a clear, supported recommendation.

4. Additional Prep

  • Industry Knowledge: Continue reading the FT daily but also dive deeper into M&A/ECM-specific news and trends. Be ready to discuss recent deals and their implications.
  • Networking: Leverage your contact at the firm to gain insights into the culture, recent deals, and what the interviewers might value most.
  • Mock AC: Simulate the assessment center environment with timed practice for technical questions, behavioral answers, and case studies.

5. Mindset

  • Stay calm and confident. Firms value candidates who can think on their feet and communicate effectively under pressure.

Good luck! Crush it!
