Sell Side M&A Interview Case Study - Need Advice on Creating the Best Possible Teaser, Acquisition Target List, and other documents they might ask for

Hello everyone,

I have a case study upcoming for a small sell side M&A firm. I have been told that I will need to prepare sell side documents such as a teaser, acquisition target list, initial pitch, and valuation framework. I am looking for advice on how to maximize my preparation beforehand to make sure I prepare the best possible documents. Has anyone conducted a similar interview? And what are key areas within each document I should be looking for? This analysis will be conducted for a public company. My current plan is below, I would love any feedback from the more experienced members of this group. (Note: I am using a throwaway to stay as anonymous as possible).

Teaser:

3 Pages

  1. Company Overview (Investment Thesis, Company Background including history, current valuation, growth strategy, product portfolio, sales channels, number of employees, geographic range)

  2. Key Financials (Enterprise Value, Market Cap, P/E, EV/EBITDA, MC/FCF, Total Debt, Gross Margin, Profit Margin, 1 and 5 year growth rates / changes in these valuation metrics) + Industry Analysis (Industry Growth Rate, Key Competitors, Potential Industry Disruptions, Industry characteristics such as potential of new entrants, power of suppliers / buyers, availability of substitutes)

  3. Opportunities for Company/Acquirer, Unique Selling Proposition, Competitive Positioning, Potential Valuation (Should I use Precedent Transactions? How could I find this? If I use valuation metrics such as multiples, how can I effectively justify my conclusions? (Should I change this? What would you suggest as a solid third page?)

Sell Side Acquisition Target

I would be looking for vertical and horizontal synergies with the current company. I would also be looking for Market Extension Mergers and Product Extension Mergers (Being that this is sell side, I would be looking for targets who are larger and capable of purchasing the company I am given, however they might ask for Buy Side Ideas as well)

What are your thoughts on my plans so far? What other documents could they possibly ask for? And do you have any ideas for how I can best prepare for this project? If you have any advice on how I could go above and beyond in a project like this, I would also really appreciate it. Thank you so much for any feedback and advice you would give me.
