Law Paper on M&A

Hi,

 I need to write a scholarly paper (analysis, possible suggestions for change, etc.) for my law school class on something relating to M&A (though it doesn't have to be wholly related to it). I was thinking of doing something related to "empty voting", perhaps that it can be actually viewed as a good thing (most scholarship abhors the idea of empty voting). However, I was wondering if any members have any other ideas, or can help me further develop the "empty voting" topic. Please keep in mind that the paper only has to be 20-25 pages, and that because I am not a banker, it can't be too technical. Thank you in advance for any help/advice you can give.
