Novice question about Microsoft acquisition of Activision (for experienced bankers)

Hi, I have a question regarding Microsoft's acquisition of Activision. The press announcement states that the acquisition price is $95/share - is this a fixed share price or is it floating? What would happen if Activision's shares increased to above $95/share before the deal is projected to close in June 2023 - would the deal definitely collapse? Thanks!

Also, Activison shareholders have been buying up the stock as ATVI shares have gone up over 30% since the announcement - does that mean that the actual premium is lower if the share price remains at this level when the deal actually closes in June 2023?
