What would it take to jump to corp dev?

Recently had an opportunity arise to join a newly built corp dev team of a late stage startup that is backed by a large growth equity PE fund.

Comp is kind of low, but there is upside in variable comp for closing deals and potential for equity down the road. An IPO is very possible in a few years. I’m curious as to how people think of these types of opportunities. Seems like a solid route to get exposure and make an impact.

How would one view an opportunity like this versus a large F500 corp dev opportunity?

What are the details on the equity down the road? Do you get it pre-IPO?

If there is room to negotiate, I would tell them that I don't want the $25K variable. I want equity and want to be a part of the company.
