What are your favourite ways of describing the market?

Hi Monkeys! I really love that there is a community here that builds up and encourage one another here. Anyways, just wanted to ask experienced people how they would normally describe the market (e.g. S&P500 trend, interest rate trend?, etc...) . This is not something related to interviews or networking, but just genuinely wanting to know what sort of perspective forms your priority in looking at the market. Also if I am interested in M&A news, what sort of perspective should I grab when reading financial news and M&A deal announcements?

What’s worked for me so far is breaking deals down into four parts (there’s a fancy name for it but I CBA to look it up).

  1. The Status-Quo: What’s going on with the two firms? what are their strengths/weaknesses, development objectives, capital structure, anything relevant to the consideration to go do an M&A.

  2. The Problem: Something can be done to make life better for the firms involved, maybe ones distressed, or the buyer wants to horizontally integrate, or some other state of affairs that can only be solved by doing an M&A

  3. The Solution: What transaction ended up taking place? what were the deal terms? What adjustments were made to get the deal across the finish line? How did the advisors create value for their clients?

  4. The Aftermath: Did the deal work out? Define “work out” then answer yes or no and give why. Maybe the company cultures were too different to make a smooth integration or the target market shifted unpredictably. Maybe it went awesome and ended up being the hallmark of the CEOs tenure with the firm.
