Read about SPVs and the CDO structure. Wikipedia has a decent article on CDOs. Try Satyajit Das' book Traders, Guns and Money if you have more time. It gives an interesting history of the CDO.
Definitely have a response ready for "what market factors do you think would make our CDO business more lucrative?". (Got that question at Lehman superday a while back)
