I’ve worked in parallel groups at another EB, sat on different sides of the table in this space as an investor and worked with/know people who are on the team so here’s some prep items that either will bode well to know or allow you to stand out given this is a junior role

1. Read up on current regulatory changes facing activists/shareholders - recently in play universal proxy card, new %OS disclosure windows, etc (SEC site)
2. What are good general governance best practices? I.e. what do institutional investors think? (Classified boards, dual share classes, ESG disclosures, dynamics of in season and off season governance road shows
3. Shareholder dynamics (how has shareholder concentration changed over time at different companies/sectors)
4. Activist themes (M&A including spin offs, scuttling deals, urging for mergers/strategic reviews), ESG themes (board diversity, executive compensation alignment w/ performance, sustainability disclosures, and governance themes such as separate Chair on Board/ having a LID) …this is all not exhaustive but for this level and a r1 interview should give you some good talking points
